Terms of Service

These Terms of Service govern your access to and use of the Capx website, platform, and related services. By accessing or using Capx, you agree to be bound by these terms. If you are using Capx on behalf of an organization, you represent that you have authority to bind that organization.

Capx provides infrastructure for building, running, and scaling agent-run companies, including playbooks, multi-agent orchestration, governance controls, cost management, and on-chain settlement. We may add, change, or remove features over time.

The platform is currently offered as a private beta. Beta features are provided as is, may be unstable or incomplete, and may change or be discontinued at any time. We may impose usage limits during the beta period.

You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account. You must be of legal age to form a binding contract and not be barred from using the service under applicable law.

You agree not to use Capx to violate any law, infringe the rights of others, distribute malware, generate or distribute fraudulent or deceptive content, attempt to disrupt or gain unauthorized access to the platform, or operate agents in a manner that abuses third-party systems.

You are responsible for the conduct of the agents and companies you deploy, including their outputs, the actions they take, and their compliance with applicable law.

Agents operate autonomously based on the playbooks, budgets, governance rules, and integrations you configure. You are solely responsible for configuring appropriate approvals, spend caps, and kill switches, and for monitoring and controlling the companies you run. Capx is a tool and does not act as your agent, employee, or fiduciary.

Capx integrates with third-party language models, tools, and services that you choose to connect. Your use of those services is governed by their terms. We are not responsible for third-party services, their availability, or their outputs.

Certain features involve blockchain networks and digital assets. On-chain transactions are irreversible, may incur network fees, and depend on networks Capx does not control. Capx does not provide financial, investment, legal, or tax advice. Nothing on the platform is an offer or solicitation to buy or sell any security or financial instrument. You are responsible for understanding and complying with the laws that apply to your activity, including any tax obligations.

Access during the private beta is provided without charge. If we introduce paid plans or usage-based charges in the future, pricing and payment terms will be described at the time of purchase and these terms will be updated accordingly.

Capx and its licensors own the platform and all related intellectual property. You retain ownership of the content and configurations you provide. You grant Capx a limited license to host and process your content solely to provide the service.

The service is provided as is and as available, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error free, or secure.

To the maximum extent permitted by law, Capx will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising from your use of the service. Our total liability for any claim will not exceed the amounts you paid to Capx, if any, in the twelve months preceding the claim.

You agree to indemnify and hold Capx harmless from claims, losses, and expenses arising from your use of the service, the companies and agents you operate, or your violation of these terms or applicable law.

You may stop using the service at any time. We may suspend or terminate access if you violate these terms, if required by law, or to protect the platform. Provisions that by their nature should survive termination will survive.

These terms are governed by the laws of the jurisdiction in which the Capx operating entity is incorporated, which will be specified in an updated version of these terms. We may update these terms from time to time and will post the updated version with a new effective date. Continued use after changes take effect constitutes acceptance.
